1. License grant
Subject to your compliance with this Agreement, Anvric grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use one copy of the Software on devices that you own or control, for your own personal or internal use during the Anvric testing program.
2. The Software is licensed, not sold
The Software is licensed to you, not sold. Anvric and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you except as expressly set out in this Agreement.
3. Restrictions — reverse engineering
The Software is closed-source. Except to the limited extent that this restriction is expressly prohibited by applicable law, you must not, and must not permit any third party to:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Software;
- modify, adapt, translate, or create derivative works based on the Software; or
- circumvent, disable, or interfere with any license enforcement, security, or technical protection measures in the Software.
Where applicable law gives you a non-excludable right to decompile for interoperability, you agree to first request the necessary information from legal@anvric.com and to exercise that right only to the minimum extent the law permits.
4. Restrictions — redistribution
You must not, and must not permit any third party to:
- copy (except for a single reasonable backup), distribute, publish, transmit, or otherwise make the Software available to any third party;
- rent, lease, lend, sell, resell, sublicense, assign, or transfer the Software or your rights under this Agreement;
- host the Software for, or operate it as a service for, third parties; or
- remove, obscure, or alter any proprietary notices, marks, or labels on the Software.
5. Open-source components
The Software may include open-source or third-party components that are licensed under their own terms. For example, the Anvric MCP connector is made available under the Apache License, Version 2.0. To the extent an open-source license grants you rights that conflict with the restrictions above, that open-source license governs for that component, and nothing in this Agreement is intended to limit your rights under it.
6. Updates
The Software may check for, download, and install updates automatically to keep it secure and current. You consent to receiving these updates as part of your use of the Software. Updated components remain subject to this Agreement unless an update is accompanied by separate terms.
7. Your data
Your use of the Software and the handling of your data are also governed by the Terms of Service and the Privacy Policy.
8. Disclaimer of warranty
The Software is provided “as is” and “as available” without warranty of any kind, to the maximum extent permitted by law. Anvric does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that data will not be lost.
9. Limitation of liability
To the maximum extent permitted by law, Anvric will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data or profits, arising out of or related to the Software, even if advised of the possibility of such damages.
10. Termination
This Agreement and your license terminate automatically if you breach it, and may end when the testing program ends. On termination you must stop using and uninstall the Software. Sections that by their nature should survive termination will survive.
11. Export and governing law
You must comply with all applicable export-control and sanctions laws. The governing law and venue for this Agreement will be specified on publication. Questions: legal@anvric.com.
